Terms and Conditions of Participation

In these Terms, the following definitions apply: "Contribution" means any monetary donation or payment made by a Participant to myEarthGuard via the website or any affiliated payment platform. "Participant" or "you" means any individual or entity who makes a Contribution to myEarthGuard. "Target Land" means a specific parcel of land identified by myEarthGuard as a potential acquisition, in respect of which a fundraising campaign has been opened. "Land Pool" means the consolidated fund into which all Contributions are held, whether or not raised in respect of a specific Target Land. "Alternative Project" means any other land acquisition or conservation initiative undertaken by myEarthGuard using pooled funds. "Shareholder" means a Participant who has been issued a certificate or digital record of participatory interest in land successfully acquired by myEarthGuard. "Site" means any parcel of land acquired and held by myEarthGuard, whether the original Target Land or acquired through the Land Pool. "Permitted Visit" means a visit to a Site by a Shareholder conducted in accordance with Clause 9 of these Terms.

myEarthGuard.org operates as an online platform and community initiative enabling members of the public to contribute funds towards the collective purchase and permanent protection of threatened green land in England. myEarthGuard does not guarantee the acquisition of any particular parcel of land. All campaigns are conducted on a best-endeavours basis, subject to the availability of land, planning constraints, third-party activity, and the total funds raised within any given timeframe.

3.1 General Character — All Contributions made to myEarthGuard are donations in support of land conservation. They are not investments, equity stakes, or financial instruments regulated under the Financial Services and Markets Act 2000 or any successor legislation. 3.2 No Guaranteed Return — myEarthGuard does not guarantee any financial return on Contributions. Participants do not acquire any right to the repayment of their Contribution, dividend, interest, or profit-share of any kind. 3.3 Non-Refundable — Subject to Clause 4 below, all Contributions are non-refundable once received. By making a Contribution, you expressly acknowledge and accept this condition. 3.4 Gift Aid — Where eligible, Contributions may qualify for Gift Aid under HMRC rules. Participants are responsible for confirming their own eligibility and completing any required declarations. myEarthGuard accepts no liability for incorrect Gift Aid claims.

4.1 Campaign Shortfalls — Where a fundraising campaign for a specific Target Land does not reach the required acquisition threshold within the campaign period, myEarthGuard reserves the right, in its absolute discretion, to: extend the campaign period; seek co-funding from third-party conservation bodies; reduce the scope of land acquisition to an affordable sub-parcel; or close the campaign and redirect all funds raised to the Land Pool for application to an Alternative Project. 4.2 Third-Party Acquisition — In the event that a Target Land is acquired by a third party prior to myEarthGuard completing its fundraising or purchase process, myEarthGuard will notify Participants and redirect all Contributions made in respect of that Target Land to the Land Pool. 4.3 Redirection to Land Pool — By making a Contribution, you irrevocably consent to the redirection of your Contribution to the Land Pool and its application to an Alternative Project in the circumstances set out in Clauses 4.1 and 4.2. 4.4 Notification of Redirection — myEarthGuard will use reasonable endeavours to notify Participants of any fund redirection by email to the address provided at the time of Contribution. 4.5 No Refund on Redirection — The redirection of funds to an Alternative Project does not give rise to any right of refund. 4.6 Refund Policy Exception — myEarthGuard operates a strict no-refund policy. The only exception is where a technical error by myEarthGuard results in a duplicate Contribution being processed. Refund requests must be submitted within 14 days of the transaction date.

5.1 Title and Legal Ownership — All land acquired by myEarthGuard is held in the name of myEarthGuard or a connected entity, trust, or Community Benefit Society. No Participant acquires any legal or beneficial title to any land by reason of their Contribution. 5.2 Participatory Interest — In recognition of a Participant's Contribution to a successfully completed campaign, myEarthGuard may issue a certificate or digital record evidencing a participatory interest. This is a non-transferable, non-assignable acknowledgement of participation and does not constitute an ownership right, share, security, or financial instrument. 5.3 No Right to Partition or Sale — No Participant shall have any right to demand the partition, sale, transfer, or encumbrance of any Site. myEarthGuard retains sole authority over the management, use, and ultimate disposition of all Sites. 5.4 Permanent Protection — Where possible, myEarthGuard will seek to place acquired land under a restrictive covenant, conservation covenant, or equivalent legal mechanism to permanently protect it from development.

myEarthGuard shall determine the governance structure applicable to its operations and the management of acquired Sites. Participants do not, by reason of their Contribution or Participatory Interest, acquire any voting rights, directorial authority, or right to participate in governance decisions.

7.1 Management Authority — myEarthGuard shall have sole and exclusive authority to manage, maintain, develop, conserve, and regulate access to all Sites. 7.2 Conservation Objectives — Sites shall be managed primarily for biodiversity, habitat preservation, and public environmental benefit. 7.3 No Management Liability to Participants — myEarthGuard shall not be liable to any Participant for any management decision relating to a Site.

myEarthGuard shall not be liable to any Participant for: any failure to acquire a Target Land for any reason; any shortfall in funds raised for a campaign; any depreciation in the conservation or ecological value of a Site; any change in the legal or planning status of a Site after acquisition; any inability to access a Site; or loss of crops, trees, or other natural assets on a Site caused by weather, disease, pest, fire, flood, or other natural or man-made event.

9.1 Right of Permitted Visit — Participants holding a valid Participatory Interest in a Site shall be entitled to make Permitted Visits to that Site, subject to the restrictions set out in this Clause and any site-specific access rules. 9.2 Booking Requirement — All Permitted Visits must be arranged in advance through the myEarthGuard website. myEarthGuard reserves the right to limit the number of visitors and to allocate access on a first-come, first-served basis. 9.3 Access Restrictions — Access may be restricted or suspended for reasons including seasonal or ecological restrictions, active land management works, legal obligations, third-party rights, public safety concerns, adverse weather, or force majeure events. 9.4 Conduct on Site — During any Permitted Visit, Shareholders must comply with the Countryside Code, remain on designated paths, not disturb or remove any flora or fauna, not light fires, not bring motorised vehicles, not erect structures, not deposit waste, and comply with all reasonable instructions from myEarthGuard representatives. 9.5 No Overnight Stays — Shareholders are not permitted to remain on any Site overnight except where myEarthGuard has specifically organised and consented to a structured event. 9.6 Exclusion from Site — myEarthGuard reserves the right to exclude any Shareholder or visitor from any Site in the event of a breach of these Terms. Exclusion does not entitle the excluded Shareholder to any refund. 9.7 Non-Transferable Access — Access rights are personal to the Shareholder and may not be transferred, sold, or assigned to any third party. 9.8 Liability for Site Visits — myEarthGuard accepts no liability for any injury, illness, loss, or damage suffered during a Permitted Visit. Participants access Sites entirely at their own risk.

10.1 No Consequential Loss — To the fullest extent permitted by applicable law, myEarthGuard shall not be liable for any indirect, special, incidental, consequential, or punitive loss or damage. 10.2 Aggregate Liability Cap — myEarthGuard's total aggregate liability to any Participant shall not exceed the total value of the Contribution made by that Participant. 10.3 Consumer Rights — Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by myEarthGuard's negligence.

All content on the myEarthGuard.org website is the intellectual property of myEarthGuard or its licensors. Participants may not reproduce, redistribute, or use any such content without prior written consent.

myEarthGuard processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details are set out in myEarthGuard's Privacy Policy, available at myearthguard.org/privacy.

myEarthGuard reserves the right to carry out identity verification and due diligence checks on Participants. myEarthGuard may refuse or refund any Contribution where it has reasonable grounds to suspect that the funds are of illicit origin.

myEarthGuard reserves the right to amend these Terms at any time. Material amendments will be notified to Participants by email or prominently displayed on the website at least 30 days before taking effect.

15.1 Dissolution — In the event of the dissolution or insolvency of myEarthGuard, all acquired Sites and Land Pool funds shall be transferred to one or more charitable organisations with comparable conservation objectives. Participants shall have no preferential claim over such assets. 15.2 Termination of Participation — myEarthGuard may terminate a Participant's access where the Participant has provided false information, engaged in fraudulent activity, or repeatedly breached these Terms.

16.1 Good Faith Resolution — Both parties agree to seek resolution in good faith through direct communication in the first instance. Complaints should be directed to hello@myearthguard.org. 16.2 Mediation — Where a dispute cannot be resolved directly, the parties agree to explore non-binding mediation before commencing any legal proceedings. 16.3 Jurisdiction — These Terms shall be governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

These Terms, together with myEarthGuard's Privacy Policy and any site-specific rules, constitute the entire agreement between the parties with respect to your Contribution and participation.

Failure by myEarthGuard to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be made in writing.
